Identify the proposed federal tax group
A US corporate group preparing a consolidated federal income tax return needs a member list supported by ownership and tax-status evidence. Begin with the common parent and the corporations proposed for inclusion. Financial-statement consolidation, shared branding and common management do not establish the federal filing group.
Form 851 describes an affiliated group through includible corporations and stock ownership, including tests of at least 80% of voting power and value. The ownership chain and excluded stock or corporation categories need specialist review. Provide the actual share rights and ownership records rather than reducing eligibility to a single percentage in an organization chart.
Create a dated register identifying each reviewed member, its parent relationship, entry or exit events and unresolved eligibility questions. Keep entities excluded from the tax group visible with the reason so the return team can reconcile the tax population to the broader financial reporting group.

Collect consent from the subsidiary for its first included year
The Form 1122 instructions require the subsidiary to give the common parent an original signed consent for the first year it consents to inclusion. The parent attaches a separate form for each such subsidiary. Record the corporation, tax period, authorized subsidiary officer, signature date and location of the signed original.
Check the period and parent identity against the reviewed membership schedule before circulating the document. A form copied from a previous acquisition may name the former parent or use the wrong tax year. Return those errors for correction while the authorized signer remains available.
The instructions permit the parent to attach an unsigned version containing the same information if it retains the signed original. Compare the submitted version with that original and document the match. A blank signature field in the electronic package therefore requires a retention check, not an assumption that consent was never obtained.

Keep ownership movements aligned with the return period
Collect purchase closing records, stock issuances, redemptions and disposals with their effective dates. Form 851 asks for beginning holdings and changes during the year, as well as information about stock classes and other arrangements. Give the tax team enough detail to assess each change and the periods affected.
In an illustrative acquisition, an agreement signed in February closes in April. A February announcement may explain the business plan, but the actual closing evidence belongs in the membership review. Have the adviser determine the federal inclusion date and any separate-period filing obligations; do not populate the return from the announcement date.
Reconcile the approved periods to the subsidiary trial balances supplied for the return. Preserve separate-period activity and tax adjustments with clear dates so a revised membership conclusion can be implemented without recreating the underlying books.

Tie the submitted forms to the group payment evidence
Form 851 also identifies overpayment credits, estimated payments and extension deposits attributable to group corporations. Reconcile those amounts to payment confirmations and prior returns, then compare the totals with the consolidated return. Keep disputed or unallocated payments on an exception list instead of assigning them to the parent by default.
Before filing, compare the approved member register, required consents, affiliations schedule and return attachments. Retain the submitted versions and any remaining follow-up with the signed originals. Carry the register forward with subsequent ownership changes, while preserving the first-year consent evidence that explains each subsidiary's inclusion.
