Accept a stock-ledger migration only after the legal ownership record works

Preserve holders, issuances and transfers, then verify the new system can produce the corporate records required for ownership and voting administration.

Define which records constitute the corporation's stock ledger

Before migrating equity software, identify the records the Delaware corporation relies on as its stock ledger and who administers them. Section 219 describes the holder names, addresses, registered shares, issuances and transfers recorded in that ledger. A financial model showing fully diluted percentages may contain useful information without performing that legal-record function.

Have counsel and the corporate custodian approve the migration scope. Include historic holders and completed transfers, not only today's balances. Keep separate schedules for options and other rights if the system handles them, with a clear distinction between those schedules and issued stock.

Reconcile the event history before loading the destination

Export the source ledger and the documents supporting its issuance and transfer history. Assign stable references that connect each event with its approval, instrument and affected holder. Preserve the source snapshot before cleaning addresses or correcting display names so changes remain explainable.

Build an exceptions list for duplicate holders, missing transfer dates, inconsistent share classes and unclear cancellations. Counsel should resolve ownership questions; the migration team should not infer a legal transfer from a payment or an email. Load approved corrections separately from format changes and retain their evidence.

Test the statutory functions, not just the screen totals

Delaware section 224 permits electronic corporate records subject to conditions, including conversion into clearly legible paper form within a reasonable time. It also requires the stock ledger to support specified stockholder lists and record the prescribed information and transfers. Ask counsel to translate those requirements into acceptance criteria for the company's arrangement.

Use actual records to test the destination. A matching share total is necessary but cannot reveal every lost holder address or omitted transfer. Confirm that an authorized custodian can produce the required output without relying on a vendor's undocumented manual intervention.

Label each test output with its effective date and selected share classes. Review whether a default filter hides former holders or canceled certificates. Those omissions can leave today's ownership total correct while preventing the company from explaining who held the shares when an earlier vote or transfer occurred.

  • Reproduce a holder's complete issuance and transfer history.
  • Generate an ownership population for a relevant historical date.
  • Produce the required stockholder list with the approved fields.
  • Convert the ledger into a legible, complete paper-ready record.

Set the cutover and preserve continuing administration

Choose a cutover point and identify which system will record events occurring during migration. Reconcile the intervening transactions before accepting the destination. Communicate the change to the people authorized to instruct issuances and transfers so parallel administrators do not create conflicting histories.

Retain the source snapshot, reconciliation, exception decisions and acceptance evidence in company-controlled storage. Confirm the new custodian's access and responsibility for future corrections and requests. The migration is complete when the legal ownership record and its required functions remain usable, with unresolved ownership issues still visible rather than silently absorbed into new software.
