Confirm that only the contractor's name changed
Start with counsel's description of the event and the accepted state instrument. FAR 42.1205 addresses a name change where the government's and contractor's rights and obligations remain unaffected. If a different legal entity will perform or assets were transferred, the company needs a separate assessment of the appropriate recognition process.
Do not classify the event from the branding announcement. Record the old legal name, new legal name, formation jurisdiction and effective date. Give counsel any related merger, conversion or ownership documents so the name-change package accurately reflects the transaction.

Identify every affected unsettled contract and order
Build the list required by FAR 42.1205, including contract or purchase-order number, type and the contracting office. Ask the responsible contracting officer about the financial information it wants. Reconcile the list with the company's contract administration records rather than limiting it to current sales reports.
An item with completed performance can still have unsettled rights or obligations. Have the contract team review closeout status and retain the basis for exclusions. Use a dated population and record additions discovered after the first submission so the recognition agreement does not omit a relevant contract.

Obtain the official evidence and legal opinion
The FAR calls for the document effecting the name change authenticated by the proper state official and an opinion from the contractor's legal counsel addressing proper effect and the effective date. Assign those deliverables to the appropriate issuer and lawyer. A provider's congratulatory message or an internal certificate is not a substitute for the specified evidence.
Compare the names and effective dates across the state instrument, legal opinion and proposed agreement. Resolve punctuation or entity-suffix discrepancies before execution. Keep the original corporate identity connected to the new name so the contract schedule can be checked against historical awards.

Coordinate execution through the contracting officer
Use the current FAR requirements and the officer's submission instructions for the agreement and supporting package. Confirm who may sign for the contractor and retain the corporate authority evidence. If a signing certificate is required, have it reviewed against the actual appointment and authorization records.
Track delivery, questions and requested revisions using one version register. Do not circulate different agreement texts to different offices without the coordinator's knowledge. A submitted agreement should remain pending until the required government execution or recognition is confirmed.
Apply the recognized name to contract administration
Save the executed agreement and final affected-contract list, then tell the authorized contract administrators which records to update. Confirm the agency's process for any related system changes. Preserve older awards and invoices as historical documents under the name used when issued.
Reconcile the first subsequent contract action with the recognized name and keep any unresolved agency record in an exceptions list. The completed file should explain both the state-law change and its documented treatment for the federal contracts, allowing a future reviewer to connect the two without assuming one filing updated every system.
