Foreign founder funding: organizing contributions, loans, and reimbursements

Keep transfers, signed terms, receipts, ownership records, and related-party activity distinguishable before preparing a U.S. company’s books and tax package.

Identify the entity and owner relationship

Record the U.S. company's tax classification, ownership, and relevant foreign related parties. Ask a qualified tax adviser which reporting applies. Different entity structures can produce different requirements.

Form 5472 instructions are a primary reference for specified reporting corporations, including certain foreign-owned disregarded entities. The adviser should assess the company's actual status and transactions rather than assuming all foreign-owned businesses file identically.

Separate each type of funding

Keep capital contributions, loans, loan repayments, reimbursements, and service payments in distinct schedules. Retain the bank reference and agreement or approval for each movement.

A transfer description such as owner funding is insufficient when the year's activity contains several types of transactions. The accountant needs to know what obligation or ownership event each transfer represents.

Preserve original currencies and costs

Record the amount sent and received, currencies, dates, conversion information, and bank fees. Explain differences between the founder's evidence and the company's bank receipt.

For illustration, a founder sending €10,000 does not establish the company's dollar receipt without the conversion and fee record. The accounting entry should use the approved policy and actual evidence.

Document founder-paid business costs

Supply receipts, business purpose, dates, and the reimbursement or contribution decision. Identify costs incurred before and after the entity was formed.

If the company reimburses the founder, match the payment to the original balance. Recording another expense at reimbursement duplicates the cost.

Prepare the adviser handoff

Provide ownership records, related-party schedules, agreements, source payments, prior filings, and open questions. Confirm who prepares required information returns and who retains filing acknowledgments.

Review the record during the year when ownership or funding terms change. The company should be able to explain each movement separately, with reporting decisions and uncertainties documented by the appropriate adviser.

Keep the owner relationship current when shares or membership interests change. Give the preparer the effective dates and signed documents so the related-party assessment uses the ownership facts that applied when the transactions occurred.
