Start when the company starts spending
A pre-revenue company already has transactions to explain. Record incorporation costs, founder-paid expenses, capital contributions, loans, contractor work, software, and payroll as they occur. Waiting for the first customer creates a historical cleanup project before the operating business has even begun.
Keep the legal entity, bank accounts, and accounting file aligned. Explain money received from founders or investors using the supporting agreement. A deposit is not sales revenue merely because the company has no other income.
Separate founder money from company costs
For each founder payment, retain the receipt, business purpose, date, and reimbursement or contribution decision. Ask the accountant how costs paid before formation should be treated. The answer can depend on the expense and the entity's circumstances.
Use a company-controlled register for unpaid reimbursements and owner loans. If founders repay themselves later, match the payment to that balance. Recording the reimbursement as a second expense duplicates the original cost.
Review development and payroll treatment
Describe the work being performed and where it occurs. Development expenses can involve book and tax questions that go beyond assigning a software category. Identify the contracts, payroll records, and project evidence the reviewer needs.
Keep payroll expense, employer costs, withheld amounts, and cash withdrawals reconciled. A small team can still have payroll filings and state obligations. No sales does not mean the company has no recurring compliance work.
Close a modest package each month
Reconcile every active bank and card account. Review owner balances, unpaid bills, prepaid items, and financing entries. Produce a P&L and balance sheet that explain spending and the remaining cash.
Use a simple cash plan for the next few months. Show contracted payments and likely commitments separately from optional spending. The forecast should be grounded in bank cash and actual payment dates rather than the amount raised on an announcement.
Prepare the annual handoff
Keep formation documents, prior filings, tax classification, financing records, and the year-end accounting package together. A domestic C corporation's return obligations should be checked even if the business has no revenue or owes no income tax.
Agree who prepares filings, who signs them, and who tracks acknowledgments. A proportionate accounting routine leaves founders with an explained spending record and gives the next adviser a usable starting point.
