Confirm that this professional-entity route applies

Ask the licensed professional and counsel to identify the profession, proposed entity type and regulator before ordering an ordinary incorporation package. This guide addresses the domestic professional-corporation sequence administered by New York's Education Department, Office of the Professions. Other professional structures and regulators can follow different requirements.

Settle who may own, direct and provide services through the proposed entity with the qualified adviser. An administrative filing service can coordinate documents, but it should not substitute its package description for the legal eligibility review. Give the filer the approved legal name and entity route in writing.

Prepare the Education Department's review packet

The department's checklist calls for an executed Certificate of Incorporation, the corporate contact form, the professional-practice business-name affidavit and the required payment. It also asks for an explanation of certain unusual name terms, including initials, foreign words and abbreviations. Use the current forms for the proposed professional corporation.

Compare the proposed entity name and profession across every document. Have counsel and the professional review the complete packet before submission. Assign one contact to receive questions and preserve the exact version delivered, so any requested change can be compared with the original proposal.

Carry the returned authority document into incorporation

The checklist explains that the Education Department attaches a Certificate of Authority and returns it to the filer. The filer then submits both documents to the Department of State for incorporation. Treat that return as a required handoff between offices rather than a signal that all formation work is finished.

Check the returned authority document against the proposed company details and preserve it with the incorporation papers. If the filing service changes, give the next filer the complete approved packet and written instructions. Avoid having different people submit inconsistent versions to the two offices.

Obtain and return the certified incorporation copy

After the Department of State filing, the Education Department requires a certified copy of the Certificate of Incorporation and the applicable payment. Its checklist says the certified copy can be requested from the Department of State at filing. Assign that order before the first submission so it does not become an overlooked follow-up.

When the certified copy arrives, verify the company identity and connect it with the Education Department's authorization record. Retain the delivery evidence for the return submission. A plain scan of a filing receipt should not be substituted for the specified certified document without the department's confirmation.

Reconcile both offices' records before closing the engagement

The Education Department says it will not list the entity on its website until it receives the certified copy. Check the relevant records and investigate an unexplained absence with the responsible office. Keep any processing question or additional request assigned until resolved.

The completed formation packet should contain the approved professional-entity documents, the Certificate of Authority, accepted incorporation evidence and proof of the certified-copy return. Give the professional owner a clear account of what is complete and what other practice permissions remain. This makes the filing service's work reviewable without suggesting that incorporation alone authorizes every professional activity.
