A formation filing was rejected: prepare a controlled resubmission

Connect the rejection notice, corrected document, signatures and filing-date evidence before resubmitting a company's formation papers.

Get the actual rejection notice

Ask the filer for the state's complete rejection or suspension notice and the exact document submitted. A provider's message saying that an application needs attention rarely contains enough information to fix it. Record the submission reference, delivery time, entity name and the state's stated reason. Keep payment evidence with the submission, since a payment problem can require a different response from a defect in the document.

Separate a filing rejected before acceptance from an error discovered in an already accepted document. The latter may require a statutory correction or amendment. Resubmitting a second formation application without resolving the first status can create conflicting instructions and uncertainty about what the state has accepted.

Check whether a filing-date rule applies

For Delaware corporations, section 103(c)(4) allows the Secretary of State to hold a defective instrument in suspension. If the applicable requirements are met, a replacement in proper form and the required payments delivered within five business days after notice can preserve the filing date the rejected instrument would have received. The statute also restricts issuing a good-standing certificate while an instrument is held in suspension.

Ask counsel or the filing specialist whether the notice invokes that process, when the response period begins and what delivery evidence will establish compliance. Do not apply the Delaware corporate rule to an LLC or another state's rejection. Put the verified deadline in the resubmission instructions and identify who will monitor it.

Correct every issue against one approved version

Create a short defect list using the state's own descriptions. Beside each item, identify the proposed change and the person authorized to approve it. A missing address is different from a rejected purpose clause that changes what the company may do. Route changes affecting ownership, authorized shares or governing rights to counsel before obtaining replacement signatures.

Compare the corrected document with the submitted version page by page. Confirm that unchanged provisions remain intact and that exhibits still match. Ask the filer whether the state requires a newly executed document, a replacement page or another specific procedure. Save the approved replacement separately from the rejected original.

Use one resubmission channel

Name one person to return the corrected filing through the required channel. Other founders and advisers should send changes to that person instead of opening competing submissions. Include the state's reference and the explanation needed to connect the replacement with the suspended item.

Retain the delivery acknowledgment and follow the application's status until the office accepts or rejects the replacement. A courier receipt, a provider's task completion and a government acceptance each prove different events. If the resubmission is late or the company has already signed a time-sensitive agreement, give counsel the full chronology.

Release the accepted facts to the company

When acceptance arrives, compare the returned instrument with the approved replacement. Verify the recorded filing date, any separate effective time and the entity reference. Tell the people waiting on formation which facts are now confirmed and which remain unresolved.

Keep the rejection, correction approval, submitted replacement and accepted instrument together. This file explains why the company's records contain multiple drafts and prevents a later reviewer from treating the rejected version as the governing document.
