Start with the shareholder's prior basis calculation

A Schedule K-1 loss does not establish the amount an S corporation shareholder can deduct. Obtain the shareholder's prior Form 7203 or equivalent basis workpaper, the filed personal return support and the current K-1. The corporation's retained earnings or accumulated adjustments account is not a substitute for the shareholder's own stock and debt basis.

The Form 7203 instructions make the shareholder responsible for maintaining the information needed to determine basis. They describe losses disallowed by the basis limit being carried forward subject to a later year's basis limitation. Preserve those suspended items by character and originating year instead of combining them with every other unused tax loss.

Agree who maintains the continuing record when the company's preparer and the shareholder's preparer differ. Provide authorized access to the relevant company facts without assuming the company holds all of the shareholder's acquisition history or prior individual tax calculations.

Reconcile stock and debt changes separately

Collect additional investments, distributions, income, losses and other basis-affecting items with their dates and support. Keep stock basis separate from loans to the corporation. The instructions explicitly separate the two and require formal notes to be tracked individually in the debt-basis portion of the form.

For loans, provide the original advance, repayments, outstanding principal and prior basis reductions or restorations. A legal loan balance can differ from its adjusted tax basis. Flag repayments where debt basis was previously reduced so the shareholder's adviser can assess the consequences rather than assuming every principal repayment is tax neutral.

The instructions state that merely guaranteeing or co-signing corporate borrowing does not create shareholder debt basis. Provide evidence of any payment actually made under a guarantee and let the adviser determine its effect. Do not add the bank's full outstanding loan balance to the shareholder's basis schedule.

Preserve the limitation that suspended each item

The instructions identify an order of potential limitations: basis, at-risk, passive activity and excess business loss. A loss released from the basis limitation can still face another restriction. Ask the shareholder's preparer to identify which limitation applies at each stage and where the remaining amount is carried.

For a hypothetical basis-limited loss pool of $14,000, a reviewed release of $6,000 leaves $8,000 in that pool before other changes. The $6,000 is not automatically the final deduction on the shareholder's return. Its treatment under the later limitations remains a separate calculation.

Reconcile the current K-1 and prior suspended items without duplicating the same loss. Preserve amended K-1s and explain changes to prior basis calculations. If an earlier contribution or distribution was omitted, the correction can affect several years of allowed and suspended amounts, so ask the preparer to assess the full chain.

Close the year with a shareholder-specific record

Retain the final stock-basis schedule, each debt-basis schedule, current loss allocation and remaining suspended items. Confirm which Form 7203 filing requirement applies for the year; the instructions cover several situations beyond claiming a current loss. Keep the completed form with the shareholder's return records and supply the company only the information it needs.

Have the preparer explain any difference between the loan principal in the company's books and the shareholder's adjusted debt basis. That difference should be visible before another repayment is authorized. Finance should provide accurate transaction facts while the shareholder's adviser determines the personal tax result.

Carry the reviewed ending balances into the next year's opening schedule with their supporting references. A change of accountant should transfer the history, not just the latest K-1. The new preparer needs to know what basis remains, which losses were previously used and why the suspended amounts have not yet been deducted.
