Reconcile the money actually received
After a financing closes, compare the signed closing record with the bank receipts. Identify each investor, amount, date, currency, and any outstanding payment. An announced round size can include money that has not yet reached the company.
Record fees and transfers separately. If proceeds first arrive in an escrow or attorney account, obtain the relevant settlement support and identify which funds are available. Finance should be able to explain the bridge from the closing documents to operating cash.
Have the instruments reviewed
Provide executed stock purchase, SAFE, convertible note, or other financing agreements to the accountant. Classification depends on the instrument's terms and the applicable reporting framework. Do not assign every financing receipt to the same equity account by habit.
Coordinate with counsel on the legal ownership record and approvals. The capitalization table and accounting ledger serve different purposes, but the overlapping facts should agree. Retain the basis for significant accounting entries with the signed documents.
Update the cash plan before hiring
Replace prospective financing with actual receipts in the forecast. Add transaction costs, current bills, founder reimbursements, and commitments made while the round was being negotiated. Then test the proposed hiring schedule.
For an illustrative $1 million received, $40,000 in fees and $60,000 in immediate obligations leave $900,000 before ongoing operations. That balance supports a different runway calculation from using the announced $1 million as unrestricted cash.
Set the reporting cadence
Review investor information rights and agree what management will provide. Define reporting dates, statements, operating metrics, and variance explanations. Assign someone to connect the accounting close to the board pack.
Avoid promising a close date that depends on source reports nobody supplies. Write down input owners for payroll, billing, expenses, and financing changes. A consistent monthly process is easier to maintain than an urgent quarterly reconstruction.
Retain a complete closing folder
Keep executed agreements, approvals, wire confirmations, fee invoices, capitalization support, accounting review, and any open items in a company-controlled location.
Before marking the round complete internally, confirm that every receipt and obligation has an explained treatment. The same file will support future diligence and help a new finance team understand how the company's opening funded position was established.
