Choose one version of the financial history
Start with the monthly statements management considers final. Identify which periods were reviewed, which were adjusted later, and which still contain unresolved balances. Keep a version log so the data room and investor deck do not show different figures without explanation.
Reconcile the historical statements to the ledger. Preserve the close support behind material balances. When a metric in the deck is drawn from product or billing data, document its definition and explain how it relates to accounting revenue.
Organize the evidence investors may request
Prepare customer contract and revenue schedules, major vendor obligations, payroll history, debt support, and equity financing records. Redact or restrict sensitive information according to the sharing process agreed with counsel and leadership.
Retain filed tax returns and acknowledgments, state registrations, and notices. Identify gaps rather than treating an incomplete folder as proof that a filing was never required. Ask the appropriate adviser to assess those obligations.
Make the forecast explainable
Connect revenue to customer and pricing assumptions, hiring to start dates and compensation, and cash to collection and payment timing. Keep the forecast's actual months tied to the same closed history supplied in diligence.
An investor should be able to change a hiring date or revenue assumption and understand the cash effect. Preserve a base case and relevant downside case. Label unclosed financing as an assumption, with its timing and amount visible.
Resolve contradictions before sharing
Check the round size against cash receipts, customer counts against billing records, payroll against the headcount plan, and equity records against the accounting treatment. Differences are not automatically errors, but they need an explanation.
Create an open-items list with owner, expected completion, and potential reporting effect. Prioritize discrepancies that change cash, revenue, liabilities, or ownership. Do not spend the same effort polishing an immaterial filename while a major balance remains unexplained.
Assign a response owner
Use one person to coordinate investor requests, supported by accounting, legal, and operating specialists. Log the question, approved answer, evidence supplied, and any resulting adjustment.
Keep those responses in the company record after the raise. Diligence work becomes reusable when the company retains the supporting schedules and resolves the recurring source problem instead of recreating an answer for each investor.
