Have counsel define the eligible votes
A stockholder consent begins with the action being proposed and the holders entitled to approve it. Provide counsel the current charter, governing agreements and stock ledger. Ask for the applicable record date, class or series votes, approval thresholds and any restriction on action without a meeting.
Delaware section 228 generally permits action by holders with the votes necessary to approve the matter if all entitled shares were present and voted, unless the charter provides otherwise. That framework requires a specific voting calculation. A founder's economic ownership percentage or a fully diluted presentation may not represent the votes relevant to the action.

Build a consent register from the approved holder list
Create one row per entitled record holder with the voting class, eligible votes, final consent version and delivery status. Where an entity or representative signs, retain the authority evidence counsel requests. Keep beneficial-owner contact information separate from the legal capacity in which the consent is executed.
Freeze the consent and exhibits before circulation. If the proposed action changes, obtain counsel's instruction on recirculation and treatment of signatures already received. Do not aggregate signatures from differently worded resolutions as though all holders consented to the same action.
Track delivery and effectiveness
Section 228 specifies delivery requirements and a period within which sufficient consents must be delivered. It also addresses future-effective consents. Have counsel set the controlling timeline, and retain evidence of actual delivery through the selected valid route.
Record when the required threshold is reached and who confirmed that the action became effective. A signing-platform notification alone may not resolve all delivery or voting questions. Keep disputed, revoked or conditional items visible instead of counting them as completed because a signature image exists.

Include the required notice after nonunanimous action
Under section 228(e), action by less than unanimous consent requires prompt notice to the specified nonconsenting holders who would have been entitled to meeting notice. Ask counsel to approve the recipient population, content and delivery method. Build this step into the original assignment so it does not disappear after the approval threshold is reached.
Keep the approved notice and delivery evidence beside the consent register. Reconcile bounced or failed deliveries through counsel's instructions. Any transaction-specific notices or filing requirements should appear as additional tasks, with their own completion evidence.

Retain a reproducible approval calculation
The final archive should contain the approved holder population, vote calculation, complete executed consents, effectiveness confirmation and follow-up notices. Someone reviewing the transaction later should be able to reproduce the threshold from those records without using today's ownership spreadsheet.
If the action required a state filing, connect the accepted instrument to this approval record and verify that counsel's filing instructions were followed. Keep implementation separate from approval: the company's teams need to know both what holders authorized and whether the resulting transaction or filing was completed.
