Give the specialist a question with a decision date

A technical consultation should identify the accounting question management must resolve and the reporting framework under consideration. Describe the transaction, relevant periods and current treatment. State who will use the advice and when a decision is needed. A general instruction to review accounting can consume a budget without resolving the issue that prompted the engagement.

Separate questions about the facts from questions about the accounting. If a contract's legal meaning is uncertain, identify counsel's role. If operating data is incomplete, assign someone to establish it. The specialist should know which facts are verified, which are management representations and which remain assumptions.

Agree the form of the answer

Ask for a written issue memorandum proportionate to the decision. It should identify the question, relevant facts, framework, analysis, proposed treatment and unresolved conditions. Request discussion of credible alternatives when they affect management's choice. The goal is a traceable answer, not a long document filled with standards unrelated to the transaction.

AICPA publishes consulting standards separately from assurance standards. Ask the professional to identify which standards govern this assignment and what the output permits users to conclude. A technical consultation should not be described as an audit opinion or a guarantee that another professional will accept the treatment.

Choose the review relationships before work begins

Tell the specialist whether an external auditor, tax adviser or other accountant will need to discuss the issue. Obtain permission for the necessary information sharing. Agree who coordinates those conversations and whether the fee includes responding to a reasonable round of technical questions.

If the external auditor must evaluate the final treatment, involve it at the appropriate stage without assuming it can preapprove management's conclusion. The specialist's role and the auditor's responsibilities remain distinct. Ask the professionals to identify independence or other limitations that affect how they can participate.

Request that disagreements be documented by issue and supporting reasoning. Management should receive an explanation of what fact or interpretation causes the difference. Avoid commissioning successive opinions until one gives a preferred answer while withholding the conclusions already obtained.

Control changes to the facts and the question

Set a factual cutoff for the memorandum and a process for new information. A signed contract differing from the draft, a changed transaction date or an omitted side agreement can alter the analysis. Ask the specialist which changes require the advice to be revisited and how an update will be priced.

AICPA engagement guidance recommends defining responsibilities and work products. In this assignment, record who verifies the facts and who authorizes implementation. Buying the memorandum does not automatically include posting entries, changing systems or rewriting the company's full accounting policies. Price those tasks explicitly if management needs them.

Accept the advice through a decision walkthrough

Have the specialist explain the conclusion to the person responsible for the accounts. Test whether that person can identify the assumptions, apply the treatment to the transaction and recognize a future event that would require another review. Clarify technical terms that obscure an operational consequence.

Retain the final memorandum, source documents, accepted facts and management decision together. Record any disagreement or limitation rather than editing it out. If implementation is commissioned separately, give the next provider the same approved version so the accounting entries reflect the conclusion management actually accepted.
