If you are closing a company, start from Compliance and submit a dissolution request. The team uses your answers to plan the work.
Steps
- Open Compliance and choose the dissolution request option.
- Choose the entity, and confirm its state of formation.
- Give the reason, such as the business is closed, the entity is no longer needed, it was created by mistake, or it merged or converted.
- Say whether the company has stopped operating, whether a final tax filing is needed, and whether there are unpaid taxes, debts, or open liabilities. If you are not sure, choose Not sure.
- Pick the timing you want, from as soon as possible to this month or this quarter, and add any context.
- Submit the request. The page confirms that your dissolution request was submitted.
Your submitted requests are listed on the page, so you can see where they stand.
Important
Dissolving a company involves more than a state filing. Final tax returns, payroll filings, and open balances usually need handling too, so answer the questions honestly and the team can plan for them.
