Choosing a provider

Can the company keep using the accountant's spreadsheet after the project?

Define editable files, permitted reuse, proprietary templates, linked tools and update rights before commissioning accounting schedules built on a provider's methods.

Specify the use the company needs after delivery

Tell the provider whether employees or a successor accountant must update the schedule after the project. Identify the required activities: inspecting calculations, changing approved inputs, adding periods or adapting the format. A PDF output may satisfy a one-time presentation while failing a recurring accounting process.

Ask which parts of the deliverable are company information, provider-created work products and proprietary methods or software. Those categories need not have identical ownership or license terms. The practical goal is permission and access sufficient for the intended use, with the actual rights recorded in the agreement.

Agree the files and dependencies

Request the editable format, source links, instructions and required software versions. Identify external data connections, macros, add-ins and licensed datasets. A workbook can open successfully while important calculations depend on a service only the provider can access. Test that dependency before accepting a handoff promise.

AICPA engagement guidance recommends identifying deliverables and limits on their use. For a reusable schedule, state which files the company receives and what it may do with them. Have appropriate advisers review material intellectual-property or liability language rather than assuming payment transfers every underlying template.

Separate permitted maintenance from new professional advice

Ask the provider to identify the inputs an employee may update and the changes that require technical review. A routine period update differs from changing accounting policy or modifying a complex calculation. The operating guide should help users recognize that boundary without requiring them to understand every formula.

Define responsibility for changes made after handoff. If a successor modifies the file, preserve the original accepted version and record the change. Ask how the provider will support questions about its original work without appearing to approve later alterations it has not reviewed.

Specify whether training, a recorded walkthrough or a limited support period is included. Use the actual maintenance owner for the demonstration. A handoff session attended only by procurement may leave the person performing the next update unable to use the schedule.

Test operation outside the provider's environment

Have an authorized company user open the file from the intended storage location, inspect a source reference and perform an approved update. Check whether links, permissions and required tools work. Use a copy for testing so the accepted output and underlying records remain intact.

IRS electronic-record guidance stresses accessible and complete records. That supports retaining readable outputs and evidence even if a proprietary calculation tool cannot be transferred. Agree an export or alternative record sufficient for the company's needs, with its limitations clear.

Resolve continued use before ending the engagement

Ask whether the license continues after service cancellation, whether additional users or advisers may use the file and whether a subscription is required. Identify restrictions on distributing it outside the company. A schedule useful for internal maintenance may have different terms for publication or third-party reliance.

Clarify whether a successor may inspect protected formulas under confidentiality terms. If formulas remain inaccessible, agree the alternative documentation needed for that professional to review and maintain the schedule responsibly.

Retain the accepted files, license terms, instructions and final support record together. If the proposed rights do not support the intended ongoing use, renegotiate the deliverable or choose another approach before the project is built. That decision prevents a completed assignment from leaving a recurring process dependent on permissions nobody agreed to obtain.
