Document who can act as the BBA partnership representative

Reconcile each tax year's partnership representative designation, entity appointments and permitted changes before an audit or adjustment request.

Find the designation for the year under review

For a BBA partnership matter, begin with the filed return for the relevant tax year. The partnership representative designation applies to a particular year. The person named on the latest return therefore may not be the representative for an older return being examined. Build a year-by-year register from filed documents and valid subsequent changes.

The IRS gives the representative sole authority to act for the partnership in BBA proceedings, and the representative's actions bind the partnership and its partners. A finance employee who receives the notice should route it promptly to the responsible representative and adviser. Internal job titles do not settle that authority.

Confirm the person who can perform the role

If an entity is the representative, identify its designated individual. The IRS requires that appointment as part of an entity representative arrangement. Check the actual filed names against engagement records and contact details so correspondence reaches the correct person after staff turnover or an advisory firm's reorganization.

Eligibility includes substantial U.S. presence under the applicable rules. Have the adviser confirm those requirements, including availability to meet the IRS, rather than assuming a mailing address is sufficient. Record the supporting confirmation without putting sensitive identity documents into a broadly shared audit tracker.

Keep a second contact for administrative continuity, clearly labeled as a contact rather than another representative. Document how urgent correspondence reaches the designated person during leave or after a departure. This operational backup should preserve the legal authority shown in the filed record.

Use the permitted process for a change

The Form 8979 instructions specify when a partnership can submit a designation and when a representative can resign. A management resolution by itself does not complete that federal process. Give the adviser the relevant IRS notice, the existing designation and the reason for the proposed change before preparing the form.

Current instructions permit submission with an administrative adjustment request filed for a substantive reason, among other specified circumstances. An AAR cannot be filed solely to change the representative. Record which permitted circumstance applies and retain the authorized signature and delivery evidence for that submission.

Keep the change's effective date beside the previous representative's actions. Valid actions taken before replacement remain relevant to the matter. Do not erase an earlier consent, settlement discussion or deadline extension from the history when updating the current-contact field.

Separate adviser authority from internal consultation

The representative may appoint an eligible professional through the applicable power-of-attorney process. IRS guidance says a new representative must submit a new Form 2848 to appoint that professional, even if the previous representative used the same adviser. Preserve the appointment for the correct representative capacity and matter.

Separately, record the partnership's agreed consultation process for settlements, elections and material decisions. Have counsel assess the governing agreement. Internal approval expectations and the representative's authority before the IRS should be understood together; an unsigned internal checklist does not establish that consultation occurred.

Before closing the file, confirm who monitors agency correspondence for each open year. Store the filed designation, any valid replacement and the related adviser appointment together so the next person handling the matter can follow the authority without reconstructing it from emails.
