Connect a corporate liquidation resolution to the Form 966 file

Preserve the adopted plan, approval date and later amendments so the corporation's federal liquidation reporting can be assessed promptly.

Send the adopted plan to the tax preparer immediately

When a corporation adopts a dissolution or liquidation plan, send the signed resolution and approval record to its tax preparer. The Form 966 filing clock generally runs from adoption of the resolution or plan, not from the final distribution to shareholders. Waiting until the bank account closes can leave the reporting review too late.

The form's instructions call for filing within 30 days after adoption for corporations within its scope. They also identify exceptions, including exempt organizations, qualified subchapter S subsidiaries and certain deemed liquidations. Have the preparer assess the actual transaction before assuming every entity closure requires the same form.

Establish what was approved and when

Keep the complete resolution or plan, its adoption date and the supporting corporate approval record. Distinguish a draft circulated for discussion from an adopted plan. If approvals occur on different dates, ask counsel which action adopted the relevant resolution and record that conclusion with the signed documents.

Identify whether the plan concerns complete or partial liquidation, the shares outstanding when adopted and the corporation's preceding tax period. Form 966 requests these facts. Reconcile the share information to the corporate records and explain any transaction occurring close to adoption, rather than copying the latest ownership total without checking its date.

The filing requires a certified copy of the resolution or plan. Assign responsibility for obtaining that copy and check that its attachments match the version reviewed by the preparer. An unsigned summary in the accounting folder should remain labeled as a summary.

Keep plan adoption separate from implementation

Build a chronology with separate entries for plan adoption, asset sales, creditor settlements and shareholder distributions. Attach the funds-flow evidence to each transaction. These records help the preparer understand how the plan was carried out without treating a legal approval as an accounting transaction on its own.

For an illustrative wind-down, the corporation adopts a plan in one month, sells equipment in the next and distributes the remaining cash later. Each event has its own document and date. The liquidation reporting file should preserve that sequence even if the final financial statement combines several transactions into one reporting period.

Ask the tax adviser to identify the treatment and reporting needed for distributions of property, intercompany balances or consolidated-return matters. The legal plan and Form 966 do not calculate every tax consequence. Keep those technical conclusions beside the schedules used for the corporation's final return.

Track amendments and preserve the filed package

A later amendment or supplement can trigger another Form 966 filing under the instructions. Route adopted changes to the preparer as they occur. Record the original form's filing date, the new approval date and exactly what the amendment changes. Preserve both versions instead of replacing the first plan in the folder.

Retain the submitted form, required certified documents and delivery evidence. Add the preparer's filing conclusion for any exception relied on. Give the person responsible for final returns access to this package and identify who will retain it after staff leave or business systems are closed.

Before archiving, reconcile the resolution chronology with the final distribution schedule. Any difference between the adopted plan and actual implementation should be explained by the responsible legal or tax reviewer, with the supporting amendment or other evidence attached.
