Confirm what ended in the home jurisdiction
Retrieve the official dissolution, merger or conversion record and ask counsel what it establishes about the entity's continued existence. Record the effective date and any surviving or converted entity. A lapse in good standing is not automatically the same event as a completed termination.
Save the Texas record that still appears active and identify its file number. Compare it with the home-jurisdiction evidence. The goal is to explain the mismatch and complete the appropriate foreign record, without making assumptions about liabilities or permitted winding-up activities.
Distinguish termination from withdrawal of a continuing entity
Texas's guidance separates a foreign entity that continues to exist but leaves Texas from one that has ceased to exist in its jurisdiction of organization. Where the entity has ceased to exist and the registration is not being succeeded to through merger or conversion, the guidance calls for termination of the registration using evidence from the proper home-jurisdiction filing officer.
A continuing entity's withdrawal package is therefore not automatically the right package for this situation. Have counsel confirm whether succession is involved before the administrator begins closing the record.

Order evidence of the event from the proper office
Texas describes acceptable evidence as a certificate establishing the termination event or a certified copy of the dissolution, merger or conversion. Its guidance identifies Form 612 as a possible cover letter. Check the current instructions and the evidence required for the actual event.
An internal board resolution to dissolve does not prove that the state accepted a dissolution filing. Compare the ordered evidence with the accepted event and confirm that the legal name and entity reference match the foreign registration. Keep all pages and official certifications intact.

Address the time between the home event and discovery
Prepare a chronology showing the home event, any Texas activities afterward, notices received and the date the mismatch was discovered. Give counsel the facts if contracts were signed or the company continued operating under the old registration. The administrative filing should not be described as resolving every consequence of that interval.
Identify the person authorized to submit and receive correspondence on the termination. If former staff or a former agent hold necessary records, request them through the appropriate authorized custodian. Keep an accessible contact for follow-up rather than routing the filing to an abandoned mailbox.
Verify the ended registration and preserve the notice route
Retain the submitted evidence, acknowledgment and official result. Update the registration inventory to explain the event that ended the record and its relationship to any successor. Keep the old file number for historical inquiries.
Ask the responsible advisers which separate tax, licensing or other accounts still need attention. Preserve a monitored correspondence route for remaining matters. The accepted foreign termination should close this specific state-record discrepancy while leaving unrelated obligations visible until their own completion evidence is obtained.
