Establish the home-state change and its date

Obtain the accepted name amendment from the company's formation jurisdiction. Record the former name, new legal name and effective date, and confirm with counsel that the event is a name change of the same entity. A merger, conversion or purchase of a brand may require a different foreign-registration procedure.

Compare the accepted change with the existing registration in the other state. Record its local file number and any assumed name used there. The amendment packet must connect those records, rather than presenting the new name as an unrelated company seeking first-time registration.

Use the foreign jurisdiction's amendment requirement

Texas requires a foreign filing entity to amend its registration when it changes its name or the business or activity stated in the registration. The Secretary of State's guidance places the amendment deadline on or before the ninety-first day after the change and identifies the applicable forms. Confirm the correct instrument for the entity type before preparing it.

Put the verified deadline in the change project and assign a filing owner. The person handling the home-state amendment may not have been engaged to update Texas. Obtain an explicit scope confirmation and give the owner the accepted change evidence promptly.

Resolve the name used locally before submission

Ask the filing specialist to check how the new legal name will appear in the foreign registration. If the entity already uses an assumed name, ask counsel whether that name remains appropriate and what related filing is required. A website rebrand should not determine the local legal naming record.

Compare the draft amendment with the home-state instrument and the existing local registration. Check spelling, entity suffix and both state references. Obtain the required authorization and signature on the final version, preserving the company's actual name at each point in the sequence.

Confirm acceptance in the foreign record

Save the submitted amendment, delivery acknowledgment and returned acceptance. Review the updated foreign registration for the new name and the continuing entity reference. If the displayed record has not caught up, ask the filing office what evidence confirms the accepted amendment while the display remains unchanged.

If the filing is late or rejected, give counsel the dates and notice rather than choosing a fictitious change date to avoid the issue. Keep the home-state amendment effective date separate from the foreign amendment's filing date. The two dates can explain why historical records temporarily use different names.

Give other record owners the accepted local evidence

Send the completed amendment to the people maintaining local licenses, contractual records and agency registrations that may need separate updates. State which filing was completed and identify other tasks individually. Texas's foreign-registration acceptance does not prove that every authority or counterparty has received the change.

Add the accepted foreign amendment to the company's name-history packet and registration inventory. Retain the previous registration so earlier transactions remain understandable. A later reviewer should be able to follow the same company across both jurisdictions and the dates each record changed.
