What a foreign founder should send a U.S. tax adviser

Prepare ownership, entity classification, related-party transactions, and business-activity records so the adviser can assess U.S. and cross-border obligations.

Describe both the company and its owners

Provide the U.S. entity's formation documents, EIN confirmation, tax classification, ownership history, and relevant elections. Identify the direct owners and any ownership chain the adviser requests. Nationality, residence, place of formation, and tax residency are different facts; do not use one as a substitute for another.

Explain where management, employees, contractors, customers, and inventory are located. A U.S. entity can have cross-border questions even when its founder never travels to the United States. The adviser needs the actual activities and relationships, not only the company's registered address.

Ask for a filing map, not one assumed form

Request the federal, state, and other filings the adviser has assessed, the relevant periods, filing methods, deadlines, and responsible professionals. Certain foreign-owned disregarded entities have a Form 5472 and pro forma Form 1120 process under the IRS instructions. Do not generalize that process to every foreign founder or every LLC.

Also identify which questions require advice in the owner's home jurisdiction or another operating country. U.S. formation does not replace local tax advice. Confirm whether the U.S. preparer covers those jurisdictions or needs to coordinate with a separate professional.

Keep a secure annual handoff

Use the agreed secure document channel for ownership and identity records. Retain the preparer's questions, approved filings, submission evidence, and any tax adjustments. Keep owner transactions in a schedule throughout the year rather than reconstructing them only when the filing deadline approaches.

Before adding an owner, changing entity classification, or moving funds under a new arrangement, ask which records and professional reviews are needed. A dated advice memo tied to the actual facts is more useful than a generic claim that a U.S. company is tax-free for foreign founders.
