How to reconcile SAFE funding wires to signed agreements

Keep investor commitments, received cash, side letters, and accounting review connected without treating a bank deposit as proof that every financing detail is complete.

Create a register for the actual transactions

Track each financing agreement separately, even when several investors use the same form. Record the investing legal person or entity, issuing company, agreement date, signed amount, currency, bank receipt date, and link to the executed document. Keep a separate status for a commitment that has not yet been funded.

Y Combinator publishes several SAFE forms and optional side letters. That is a useful reminder to retain the actual signed version, not merely the blank template the founder started with. Amendments and side letters can affect the information legal and accounting advisers need.

Match differences instead of forcing totals

The bank payer name may differ from the investor name because an entity, fund administrator, or authorized intermediary sent the money. Obtain confirmation of the relationship through the appropriate legal or finance contact. Do not change the investor record solely to make it resemble the bank description.

Suppose an agreement states $100,000 and the bank receipt is $99,975. Investigate whether a $25 transfer fee explains the difference, whether the investor still owes an amount, or whether another arrangement applies. Keep the evidence and let the accountant record the fee or receivable appropriately. Do not reduce the signed financing amount without support.

Keep pending and completed items distinct

A signed agreement with no cash receipt and a cash receipt with an incomplete signature packet require different follow-up. Assign an owner and next action to each. The financing register should show both the legal status and the cash status rather than one generic complete checkbox.

At month-end, reconcile total receipts in the register to the bank and the relevant ledger accounts. Explain timing differences, fees, and any money returned. This control is separate from determining the instrument's accounting classification.

Have the instrument assessed on its terms

Do not assume every document labeled SAFE belongs in the same accounting category. Give the accountant the executed agreements and relevant amendments, and ask for the treatment under the reporting framework the company uses. Legal interpretation and tax consequences may require separate professional advice.

Keep the financing register consistent with the legal capitalization records, but do not replace the cap table with a bank reconciliation spreadsheet. Conversion, dilution, and ownership calculations require the instrument terms and the relevant financing events, not just cash totals.

Retain a usable closing file

Store the executed agreement, side letters, receipt evidence, exception resolution, and accounting memo under a shared transaction reference. Restrict access to sensitive investor and bank details. A future diligence request should be answerable without searching the founder's personal inbox.

Before the next round, review unfunded commitments and unmatched receipts with counsel and the accountant. Resolve stale items explicitly so the next financing schedule does not carry forward an assumption nobody has checked.
