Draw the before-and-after legal identity record
For each transaction party, record its legal name, entity type, formation jurisdiction and Texas registration number. Ask counsel to identify the survivor or converted entity and the transaction's effective time. Include the accepted merger or conversion evidence and the final agreement.
The administrative question is what happens to the existing foreign registration after that legal event. A stock acquisition that leaves the registered company in existence presents different facts from a merger that eliminates it. Do not select a succession form solely because the transaction team calls the deal an acquisition.
Apply the route for the actual transaction
Texas's foreign-entity guidance describes different routes for mergers and conversions. If a registered foreign entity merges out of existence, the circumstances can support terminating its registration or amending it so the surviving foreign entity succeeds to it. A jurisdiction-only conversion and a conversion to a different entity type are also treated differently.
Use the table as an intake aid for counsel and the filer. The state's current instructions and the transaction documents determine the submission.
| Transaction fact | Texas guidance to review |
|---|---|
| Merged entity disappears; survivor already registered or will not transact business there | Termination evidence and Form 612 route |
| Surviving foreign entity needs to succeed to the merged entity's registration | Amendment through Form 422 |
| Foreign entity changes formation jurisdiction without changing type | Registration amendment through Form 406 |
| Foreign entity converts to a different type | Succession amendment through Form 422 |

Check the survivor's existing registration before filing
Search the survivor's records for an existing Texas registration and verify it with the official record. A group reorganization can leave several related entities registered under similar names. Record which registration will continue and which will end under counsel's plan.
Ask counsel how the company's planned activities affect the selection. The filing team needs the approved conclusion about the survivor's Texas operations, not an assumption drawn from the acquired company's old office address. Coordinate any separate licenses with the team responsible for those permissions.
Deliver the home-jurisdiction evidence the route requires
Order the required official evidence after confirming its format and freshness requirements with the filer. Check that it identifies the transaction parties and effective event correctly. Preserve certified copies and complete attachments so the foreign office can connect the predecessor to the successor.
Track the succession or termination submission through acceptance. Compare the returned record with the intended surviving registration and name. If the result differs, resolve it before the company relies on the updated registration in a license application or another transaction.
Preserve both the predecessor and successor histories
Update the registration inventory with the accepted result, effective dates and a link between the old and continuing records. Keep the predecessor's prior filings accessible for historical notices and diligence.
Distribute the confirmed result to the people maintaining company records and local permissions. Identify tax-account and licensing work as separate assignments. The foreign-registration update is complete when the official record reflects the approved transaction route and the company can explain how the predecessor's record connects to the survivor.
