Create a surrender register for existing certificates
List the registered holder, certificate number, class, share count and current location of each certificate. Give holders the approved surrender instructions and record receipt. Keep certificates reported missing in a separate exception process rather than marking them surrendered based on an email promise.
The company or transfer agent should retain the evidence of cancellation or other approved handling. Link every completed surrender to the corresponding uncertificated record. Reconcile totals so that the process changes representation without unintentionally changing the number of shares held.
Prepare the holder notice from the actual rights
Section 151(f) calls for notice to a registered owner within a reasonable time after issuance or transfer of uncertificated stock, with the required information or permitted statement. Have counsel prepare the content for the company's classes, rights and applicable restrictions.
Section 202 also addresses notice of transfer restrictions for uncertificated shares. Do not replace a paper legend with a generic platform message without checking whether the message contains the required information. Give the administrator the approved notice text and identify which holders receive each version.

Test the record and delivery before the full conversion
Review a sample completed holding with counsel and the record keeper. Confirm that the system shows the correct holder, class, share quantity and representation status, and that it preserves the notice sent. Test how an authorized person exports the history and supplies a holder with the relevant record.
Record failed notice deliveries and resolve them through the approved process. The project should retain a distinction between a ledger update, a notice prepared and a notice delivered. Keep any paper holdings still awaiting surrender clearly visible alongside the completed uncertificated holdings.
Maintain the mixed population until every exception is closed
A transition can leave both certificated and uncertificated shares outstanding. Keep the status of each holding accurate and give transfer administrators instructions that reflect it. Do not describe the company as entirely paperless while unsurrendered certificates remain in circulation.
Store the board authorization, surrender records, approved notices and final reconciliation together. For future issuances or transfers, use a repeatable task that includes the required notice and evidence of delivery. The recurring process should preserve the same rights information that the one-time transition established.
