Gather section 751 asset records when a partnership interest is sold

Prepare transfer-date receivable, inventory and recapture evidence so the tax adviser can assess ordinary-income components and Form 8308 reporting.

Notify the partnership and establish the transfer facts

When an owner sells a US partnership interest, the partnership needs the transfer details before it can prepare reliable tax information. Obtain the agreement, closing date, buyer and seller identities, interest transferred and notice received by the partnership. Distinguish an interest sale from a redemption, gift or direct asset sale for the adviser's review.

Section 751 can give part of an interest sale an ordinary-income character because of the partnership's underlying assets. Form 8308 addresses qualifying exchanges involving unrealized receivables or inventory items. The sales agreement's description of an ownership interest does not settle that asset-level question.

Assign an owner to obtain the transfer notice and missing facts. Keep the date the partnership learned of the exchange because it can affect reporting steps. A deal handled entirely between two owners can otherwise reach the preparer only after the return has been filed.

Look beyond the receivables and stock ledger

Prepare a transfer-date population of customer payment rights, work in progress, inventory and relevant property. IRS guidance defines unrealized receivables more broadly than unpaid invoices: it can include specified ordinary-income recapture from depreciable assets. A business without a conventional receivables balance may still have an amount requiring review.

Provide tax depreciation schedules alongside financial-statement asset balances, with acquisition dates, prior deductions and supporting values. For customer rights, identify the accounting method and amounts already included in taxable income. Preserve contract and billing evidence for work begun but not yet invoiced.

A hypothetical cash-method service partnership might have completed client work awaiting payment and heavily depreciated equipment. Sending only its cash balance and the seller's capital account would omit two areas the adviser needs to examine. Record those underlying items without assuming that their ledger values are the tax amounts.

Support a dated deemed-sale calculation

The tax analysis considers a hypothetical sale of partnership property at fair market value immediately before the transfer. Build the asset schedule for that date, with adjusted tax basis, valuation evidence and the information needed to allocate the relevant gain to the selling partner. Do not substitute year-end figures without explaining the intervening activity.

Identify partner-specific adjustments and allocation terms for review. The seller's ordinary-income component cannot always be established by multiplying a single company-wide number by a headline ownership percentage. For interests held through other partnerships, obtain the lower-tier asset information the specialist requests.

Keep this calculation linked to, but separate from, the seller's overall gain calculation. The latter also requires the seller's adjusted outside basis and relevant liability relief. Preserve a bridge explaining how the final ordinary and capital components relate to the reviewed total.

Coordinate the recipient copies and the filed return

Current Form 8308 instructions distinguish the Parts I through III information furnished to transferor and transferee from the complete Parts I through IV filed with Form 1065. Do not reuse an older checklist that requires every Part IV amount in the January recipient package. Confirm the actual deadlines and any applicable exception with the preparer.

Retain the final asset calculation, recipient versions and filed form together, and compare the reported gain information with Schedule K-1. If the transfer is discovered late or reported incorrectly, the correction route depends on the facts and the partnership's filing regime. Assign that review explicitly instead of silently replacing a spreadsheet after filing.
