Service terms
Effective and last updated:
Contracting company: Premier Global Management, LLC
These service-specific terms supplement the Terms of service for work ordered from Premier Global Management, LLC under the Institution name. They explain the published service categories. Your accepted order and any signed engagement identify the actual entities, periods, jurisdictions, deliverables and professional responsibilities covered.

1. Confirming the engagement
Before substantive service work begins, the engagement must identify the customer entity, authorized contact, selected package, covered periods, accounts and jurisdictions, start date, pricing and required approvals. A listed package inclusion is delivered within that confirmed engagement. If a material eligibility issue or mismatch is identified, we will discuss a scope adjustment or an appropriate cancellation or refund rather than silently substituting a narrower service.
Website feature lists are a description of the available package, not authority to file every possible return, elect a tax classification, establish a bank account or bind the customer to a third-party contract. No particular tax filing, multi-entity structure, professional certification or legal opinion is included unless the engagement covers it. Work outside scope requires a quote and approval.
2. Dashboard and connected accounting
The Dashboard is available at $0 per month without a paid Institution plan. Available features include QuickBooks Online connection and sync, Ask Max AI, reports, transactions and reconciliation tools, invoices and bills, company records, documents, tasks, service tracking and team settings. Software access does not mean a professional has reviewed or approved every record.
QuickBooks Online is required for connected accounting. Connect an account you are authorized to administer; its Intuit subscription is separate from Institution fees. Data access depends on the provider's permissions and supported connection. Sync delays, expired authorizations and provider limits can affect completeness. Check important balances against source statements and reconnect when requested. We will not replace your accounting system or change your accounting basis merely because you create an Institution account.
Max AI is optional, subject to the limits in the Terms and Privacy policy. A free account does not include paid bookkeeping, tax preparation, a registered agent appointment or a government filing. Canceling a paid engagement leaves the account available independently, subject to normal account and security terms.
3. Tax Desk
Tax Desk provides the tax and compliance services included in the purchased package for a business maintaining its own books. The current published price is $199 per month with a two-month minimum, or $1,799 billed annually, plus applicable state fees unless expressly included. It is not a dedicated monthly bookkeeping engagement.
The published package lists business IRS and annual state tax filings, tax-extension and Delaware franchise-tax support, formation filings, EIN support, an operating agreement, Registered Agent service, virtual mailing or business-address service, reports, licensed tax professional consultation and year-round support. These inclusions apply to the entity, filing year, relevant jurisdiction and other limits confirmed for the engagement. A service already included in the accepted package is not charged again as a standalone service for the same coverage.
Additional state or city filings, Form 5472 work, other ownership complexity, prior-year returns, amendments, notices, audits and special tax elections must be expressly scoped. Additional-state and foreign-owner add-ons shown on the Pricing page are separately priced where applicable. A tax extension concerns filing time and does not generally extend the time to pay. You must provide complete books, owner information, signatures and payments in time for the agreed deadlines.
4. Finance Desk
Finance Desk includes the published Tax Desk coverage plus a dedicated bookkeeper and agreed monthly close work. The current published price is $299 billed monthly or $2,799 billed annually, plus applicable state fees unless expressly included. The engagement specifies the entity, accounting basis, covered accounts, close period, deliverables and information cutoffs.
The published scope includes monthly and quarterly closings, profit and loss, balance sheet and cash flow reporting, cash-flow and burn-rate tracking, and the listed dashboard and connection features. ‘US-GAAP bookkeeper’ describes the service offering; it is not an audit opinion or a promise that incomplete customer records automatically become compliant with every accounting requirement.
You approve material accounting judgments and provide explanations for unclear transactions. Missing records, unreconciled opening balances, inventory, revenue recognition, international activity or unusual transactions may require separately approved cleanup or specialist work. We will identify a material scope issue we encounter and agree on how to address it.
5. Managed Accounting and spending bands
Managed Accounting is priced by monthly business spending and the agreed service scope. It includes the published dedicated accounting team, senior close oversight, accrual-basis accounting, reconciliations, close review and financial statements for the engagement. Multi-entity and international support must identify the entities and jurisdictions actually covered; it does not mean an unlimited number of entities or every foreign filing.
The selected spending band, how spending is measured, covered accounts, treatment of transfers or nonoperating items, observation period and any complexity adjustment must be confirmed in the order or engagement. A calculator position alone does not authorize a retroactive surcharge. If spending or complexity moves beyond the accepted scope, we will explain the basis, quote the prospective change and obtain approval before charging it.
Published band pricing is Under $10,000: $299 / mo on monthly billing or $199 / mo as the annual monthly equivalent; $20,000: $399 / mo on monthly billing or $299 / mo as the annual monthly equivalent; $50,000: $599 / mo on monthly billing or $499 / mo as the annual monthly equivalent; $100,000: $699 / mo on monthly billing or $599 / mo as the annual monthly equivalent; $150,000: $899 / mo on monthly billing or $799 / mo as the annual monthly equivalent; $200,000: $999 / mo on monthly billing or $899 / mo as the annual monthly equivalent. Spending above $200,000 requires a custom quote. The checkout or engagement must show the total annual commitment and payment schedule. Do not infer an annual installment arrangement solely from a monthly equivalent.
6. Incorporation, entity documents and EIN support
The published Launch incorporation package is a $499 one-time fee and includes its advertised standard state fees, name check and clearance, document preparation, electronic filing, certificate of formation, EIN support, digital documents and one year of Registered Agent coverage. Express formation and Delaware mail-forwarding options are separately priced where selected. Any unusual jurisdiction, nonstandard filing or excluded charge must be disclosed and approved before it is incurred.
You choose and approve the entity name, type, jurisdiction, ownership, management, business purpose and tax treatment, with independent legal or tax advice where appropriate. Name availability checks do not establish trademark clearance or protect against third-party claims. An operating-agreement template or administrative document service is not a customized legal opinion. Do not sign or submit a document you have not reviewed.
Same-day electronic filing means submission after the required information, approvals and payment are complete and subject to applicable cutoffs and agency availability. It is not same-day agency approval or guaranteed EIN issuance. State or IRS requests, outages, rejections and processing queues may change timelines. EIN support requires accurate responsible-party information and an appropriate authorization. We do not guarantee tax status, bank approval, immigration outcomes or permission to conduct a regulated business.
You remain responsible for ongoing licenses, annual reports, taxes, beneficial-ownership disclosures where legally required, foreign qualifications and other obligations outside the agreed filing. Lifetime customer support means support about the purchased formation service for the life of that service offering; it does not include unlimited professional work, government charges or a guarantee that the business will remain in good standing without ongoing action.
7. Registered Agent appointments and continuity
Standalone Registered Agent service is currently $99 per year for the purchased coverage. Launch includes the first year; continued coverage is $99 per year billed separately unless already included in another accepted package. Renewal requires the disclosures and authorization described in the Terms. We will identify the actual appointed agent and covered jurisdiction in the service records or filing.
The service covers receipt of service of process and official notices, digital scanning where included and annual-report reminders. It is separate from ordinary mail forwarding, a virtual office and legal representation. We do not pay your taxes or annual-report fees. Keep your contact details current, review notices promptly and obtain counsel for legal process. A scan or reminder is not a legal response or a filing on your behalf.
Canceling payment does not itself remove an agent from a state's records. Before ending an appointment, arrange a replacement or take another lawful step and complete any required change filing. We will follow applicable notice and resignation rules. Our cancellation process does not authorize abandonment of an appointment contrary to law or withholding of legal process. Coverage after the paid period and any transition charge must be expressly agreed, not assumed.
8. Mailing and business-address services
A mailing or virtual business address is available only when included or separately ordered and after any provider verification, postal authorization or identity checks required for that service. The authorized address, permitted uses, mail categories, scanning, forwarding, postage, storage and renewal terms must be confirmed. Our own legal correspondence address is not automatically a customer-use address.
Do not use an address to misrepresent a physical operation, evade a regulator or receive prohibited items. It does not guarantee bank acceptance, tax residence, licensing eligibility or proof of a staffed office. Registered Agent receipt of official notices is different from receiving general business mail. If an address service ends, update your government, bank, customer and other records and arrange lawful forwarding or disposal.
9. Tax preparation, signatures and professional authority
Tax filings included in an engagement are prepared by, or under the supervision of, an appropriately licensed tax professional where required for the work. The engagement identifies the filing entity, periods and returns. A preparer may also need a separate engagement, identity verification, electronic filing authorization, power of attorney or specific taxpayer disclosure consent.
You must review and approve a return before submission and pay taxes directly through an authorized method. We will not treat ordinary website use or a support chat as a taxpayer signature, authorization to sign a return, unlimited power of attorney or consent to use tax return information for unrelated purposes. Audit defense, agency representation, amended returns and correction of pre-engagement errors require an express scope.
A professional may decline an unsupported position or request additional evidence. The customer must not request a false filing or conceal material facts. We do not guarantee a refund, deduction, tax credit, assessment outcome or avoidance of penalties. This does not remove responsibility for an error caused by our breach of an agreed duty.
10. Add-ons and specialty work
Published tax add-ons are Additional State/City Filing: $249 / jurisdiction; Form 5472 (Foreign Owner): $399 / owner; Dissolution: $460 + government fees. Published specialty services are R&D Tax Credit Claim: 15% of credit received; Stock Admin (Carta / Pulley): $299 / hour; Historical Cleanup: $149 / month of cleanup. The order confirms the applicable form, jurisdiction, owner, historical period, hourly authorization or other billing unit. The same work will not be billed both as an included package deliverable and a separate add-on without a clearly agreed scope change.
Historical cleanup means work on prior periods; complimentary historical data migration means transferring available records from your former provider or software. Migration does not promise correction or reconciliation of every historical error. We will distinguish those activities and obtain approval before charging for cleanup.
An R&D tax-credit claim is advertised at 15% of credit received. Before work starts, the professional engagement must establish eligibility, the lawful fee arrangement, the meaning and timing of ‘received,’ any minimum or separate work fee, treatment of offsets or later adjustments and the professional responsible. No fee structure prohibited by applicable professional or tax rules will apply, and we will not substitute a different charge without agreement.
Stock administration is administrative support within the approved Carta, Pulley or other supported workflow. It does not include securities-law advice, a valuation opinion or authority to issue equity without the required corporate approvals. Dissolution support does not automatically cancel all debts, taxes, licenses or third-party services; those tasks must be addressed in the dissolution scope.
11. Payroll, payments, controller and CFO support
Payroll coordination, receivables and payables support, controller support, CFO advisory and multi-entity operations are provided only within an accepted scope. The customer retains management authority, funding responsibility and approval of employees, payroll amounts, vendors, payees and transfers. A report or recommendation is not authorization to make a payment.
Access to banking data does not make Institution a bank, custodian, money transmitter or account signatory. Any payment-related workflow requires the permissions and approvals appropriate to that action and the provider's rules. We do not hold customer deposits or promise deposit insurance through these Terms. Investment advice, lending, legal representation and regulated brokerage activity are outside this scope unless separately and lawfully engaged through an appropriate provider.
12. Delivery, corrections and handoff
Schedules begin when required onboarding, permissions, opening balances, documents and approvals are complete. We will communicate material dependencies and blockers. The engagement should specify close targets and document cutoffs where timing matters. Government and provider timelines are estimates unless an express enforceable commitment says otherwise.
Tell us promptly about a suspected error, identifying the record and supporting evidence. We will investigate and, where responsible, correct or reperform the affected work as appropriate. An engagement may include a review process, but failure to comment immediately does not waive a statutory right or excuse a concealed material error.
At termination, we will reasonably cooperate with an authorized successor, identify work in progress and known upcoming obligations within the engagement, and provide available client records in an ordinarily used format. Your own provider subscriptions and government authorizations require separate management. Confidentiality, lawful record retention and applicable professional obligations continue after the handoff.
For an initial inquiry, include the relevant service or order reference. Please do not email passwords, tax identifiers or confidential financial documents.
